ikePulse Terms of Service
1. Acceptance and eligibility
These Terms of Service ("Terms") form a binding agreement between you and ikePulse ("we", "us") governing your use of the ikePulse web application at cloud.ikepulse.com and the AI assistant Iko (together, the "Service"). The legal entity operating the Service is identified at the end of these Terms (Section 19).
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding agreement. You are using the Service for business or commercial purposes. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
Definitions. In these Terms: "Service" means the ikePulse web application, the AI assistant Iko, and related features; "Iko" means the AI assistant within the Service; "Credits" means the metering unit described in Section 4; "Your Content" has the meaning given in Section 7; "Output" means content, files, text, or materials generated by the Service in response to your instructions; "Connections" means the data sources you authorize the Service to access; and "Plans" means the subscription tiers described on the pricing page.
2. The Service
The Service is an AI-powered operations assistant for independent e-commerce brands. After you connect your own data sources (such as Google Analytics, Google Search Console, Google Ads, Shopify, and Meta Ads), it provides data analysis, diagnostics, action suggestions, GEO (AI-search optimization), scheduled reports, and a conversational assistant.
- The Service provides tools and capabilities; it does not operate your business and does not guarantee any business result (see Section 11);
- Connections are read-only by default. Any action that changes your store, advertising, or emails is presented for your explicit review and authorization before it is executed;
- Self-service plans do not include a guaranteed uptime commitment; service-level commitments, if any, apply only to Enterprise agreements.
3. Accounts and teams
- You must register with a valid email address, keep your credentials secure, and are responsible for activity under your account;
- Registration is open. You may also join a workspace via a team invitation or a referral code. Within team features, the account owner may invite members; members act under the owner's authorization and share the workspace, including its credit pool;
- You will promptly notify us of any unauthorized use. We are not liable for losses caused by compromised credentials that are not due to our negligence.
4. Subscriptions, credits, and billing
4.1 Credits. The Service is metered in credits, consumed per unit of work delivered (for example, a diagnosis, a scheduled report, or a set of produced content). Routine daily Q&A with Iko is not deducted from your credits and is provided subject to fair use. The current billing basis is shown on the account and usage pages, where usage is itemized by work type.
4.2 Plans and included credits. Each paid plan includes a stated amount of credits per billing period, a number of stores, brands, and seats, and a set of features as listed on the pricing page.
4.3 Credit validity, fair use and no surprise billing.
- Plan credits are valid only during the billing period in which they are issued; unused plan credits expire at the end of that billing period and do not roll over. Once plan credits are used up, further chargeable use is covered by credit packs;
- Credit packs are valid for 12 months from the date of purchase; unused pack credits expire at the end of that period;
- Promotional or welcome-pack credits have the validity stated when issued (for example, two months), are non-transferable, and have no cash value. Welcome-pack credits may be released in parts tied to setup milestones (for example, part on sign-up and part on connecting your store), each with its own issue date;
- Fair use. Routine daily Q&A that is not deducted from credits is provided on a fair-use basis; we may apply reasonable daily limits and throttle abusive usage;
- No surprise billing. Before any single action estimated to consume a large amount of credits, the Service asks for your explicit confirmation; charges only occur for actions actually performed, and work that cannot be completed is not billed as if delivered;
- When your credits are insufficient for a requested action, the Service either offers a reduced-scope alternative or pauses the action with an option to top up — you are never charged beyond your remaining balance.
4.4 Auto-renewal and cancellation. Subscriptions renew automatically at the end of each monthly or annual period at the then-current price until you cancel. You may cancel in your account or by contacting support; cancellation stops future renewals and the Service remains available until the end of the paid period.
4.5 Price changes. We may change plan and credit prices. Changes apply to future purchases and renewals and do not reduce credits already purchased; where required by law, we give advance notice of changes affecting renewals.
4.6 Insufficient credits. If your balance is insufficient for a paid action, the Service will pause that action and prompt you to buy a credit pack or upgrade (HTTP 402 where applicable).
4.7 Free trials and promotional plans. If we offer a free trial or promotional plan, your account converts to the applicable paid plan at the end of the trial and your payment method is charged unless you cancel before the trial ends. We will send a reminder before conversion. Promotional offerings may be modified or discontinued at any time.
5. Refunds
- Refund requests may be made within 14 days of a transaction. Requests are reviewed case by case and handled by Paddle, our merchant of record, under Paddle's refund policy.
- Where the law of your jurisdiction grants a statutory withdrawal or refund right, that right applies.
- After any refund, your access to the Service ends.
6. Acceptable use policy
You agree not to:
- Use the Service for any unlawful, fraudulent, infringing, or harmful purpose, or in violation of any platform's terms;
- Upload or process data you do not have the lawful right to use, or data lacking a valid basis regarding your customers;
- Generate spam, deceptive, or misleading content, or impersonate any person;
- Attack, disrupt, overload, probe, reverse-engineer, decompile, or attempt unauthorized access to the Service or its systems;
- Circumvent quotas, rate limits, billing, or fair-use controls, including by creating multiple accounts;
- Resell, rent, or provide the Service to third parties except as expressly allowed for your organization.
You remain responsible for the decisions you make and the actions you authorize based on the Service's output.
7. Your content and your license to us
- "Your Content" means documents and data you upload, content you enter in conversations, connected-source data, and saved business information;
- You retain all ownership of Your Content. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely as necessary to provide and secure the Service (including sending necessary content to the providers described in the Privacy Policy);
- This license ends when the relevant content is deleted or the agreement ends, except for residual copies in backups and records retained as described in the Privacy Policy;
- You may withdraw material by deleting it or cancelling your account.
8. Our intellectual property, feedback, and AI output
- The Service, including Iko, its software, methodologies, designs, and trademarks, is owned by ikePulse and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms;
- The brand name and logo "ikePulse" are trademarks of the operating entity (trademark application filed, registration pending). "Iko" is the name of the AI assistant within the Service and is used descriptively; it is not asserted as a separate trademark or standalone brand;
- If you provide feedback or suggestions, we may use them without obligation or compensation;
- Subject to these Terms and to the extent permitted by applicable law, you own the Output generated in response to your instructions. You acknowledge that AI-generated content may not be protectable by copyright in all jurisdictions and that similar Output may be generated for other users given similar prompts. AI-generated output may be inaccurate or incomplete; you should verify it before relying on it, and we make no representation that Output is free of third-party rights.
9. Third-party platforms and services
- The Service interacts with third-party platforms (Google, Meta, Shopify) and other providers. Your use of those platforms is also governed by their terms;
- We do not control third-party platforms and are not responsible for their data accuracy, availability, rate limits, changes, or termination. We do not guarantee continued compatibility;
- If a third party restricts or terminates access due to your account or conduct, that is your responsibility.
10. Confidentiality
Each party will protect the other's non-public business and technical information and use it only in connection with the Service. This does not limit disclosures required by law.
11. AI output and no guarantee of business outcomes
- Reports and suggestions are generated from your authorized data and public information for operational reference only and do not constitute investment, legal, financial, accounting, or tax advice. Known data latencies (e.g., Search Console data lag) are noted in reports;
- We do not commit to or predict any business outcome, including any increase in sales, traffic, conversion, repeat purchase, or return on advertising spend. Scores and diagnoses reflect the relative current state and are not forecasts;
- You should verify key data before acting. Write-type actions are executed only after your confirmation and authorization.
12. Termination
- You may stop using the Service and cancel your account at any time;
- We may suspend or terminate the Service for a material breach (including breach of the acceptable use policy), with notice where practicable, and may do so for convenience;
- Upon termination, your right to use the Service ends. We handle Your Content per the Privacy Policy. Sections that by their nature should survive will survive;
- Data export: before termination you may export Your Content through your account. We retain Your Content for 30 days after termination, during which you may request export, after which it may be permanently deleted.
13. Indemnification
You will indemnify and hold ikePulse harmless from third-party claims, liabilities, damages, and expenses (including reasonable legal costs) arising from: Your Content; your use of the Service or its output; your violation of these Terms or applicable law; or your infringement of another's rights. This applies to business users to the extent permitted by law.
14. Disclaimers
Except for liability that cannot be excluded by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation.
15. Limitation of liability
- To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data arising from the Service;
- Our total aggregate liability for any claim is capped at the fees you paid for the Service in the 12 months preceding the claim;
- Nothing in these Terms excludes or limits liability for intent or gross negligence, fraud, death or personal injury, or any liability that cannot be excluded under applicable law (including mandatory data-protection liability).
16. Changes to the Terms or Service
We may update the Service and these Terms. For material changes we will provide at least 30 days' advance notice in the Service or by email. Continued use after the effective date constitutes acceptance where permitted by law.
17. Governing law and dispute resolution
- These Terms are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods;
- The parties will first attempt to resolve any dispute through good-faith negotiation within 30 days. If unresolved, the dispute shall be finally resolved by arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC), seated in Beijing, conducted in English by one arbitrator under the rules in effect at the time. The arbitral award is final and binding and may be enforced under the New York Convention;
- Nothing in this Section limits mandatory consumer-protection rights that apply to you as a consumer in your jurisdiction.
18. General
These Terms, with the Privacy Policy, are the entire agreement. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms in connection with a merger or asset transfer; you may not assign them without our consent. Notices are sent to the email you provide or posted in the Service. Headings are for convenience only.
